Written in plain language on purpose. These terms cover using this website and the services I Ninja LLC provides. If something here is unclear, ask us rather than guessing.
Effective: January 1, 2026 Last updated: January 1, 2026 Applies to: agency.i-ninja-llc.com and services provided by I Ninja LLC
These terms are being reviewed by legal counsel. They reflect how I Ninja LLC actually operates today, but they are not legal advice and may be updated once that review is complete. Questions are welcome at [email protected].
The full terms are below and they are what legally applies. This summary is accurate, not a softened version of the fine print.
No contracts. Cancel whenever you want. Your access continues to the end of the billing term you already paid for.
Payments are not refundable once a billing period starts. No prorated refunds for unused time. You keep access until the period you paid for runs out.
Your data is yours. Contacts, documents, and customer records in your account belong to you, and you can take them with you.
Your workflows are yours too. We never reuse the messaging or workflows we build for you in another client's account.
Five days of grace on payment. After that an account is paused rather than deleted, and resumes once payment is made.
We do not promise uptime. The services depend on infrastructure we do not control, and we will not pretend otherwise.
By using this website or any service provided by I Ninja LLC, you agree to these terms. If you do not agree with them, please do not use the website or the services.
If you are agreeing on behalf of a company or other organization, you confirm that you have the authority to bind that organization to these terms.
I Ninja LLC is a limited liability company formed in California and based in Trinity County, California. We provide business technology services to companies across the United States.
In these terms, "we" and "us" mean I Ninja LLC. "You" means a website visitor or a customer. "Services" means the tools and setup work we provide, including messaging, AI voice, follow-up, booking, reviews, listings, payments, and automated workflows.
These terms cover your use of this website and, where you are a customer, your use of the services.
These terms are the agreement. I Ninja LLC does not use a separate signed service contract. What you read on this page is what applies to your use of the website and of the services, together with any written order, quote, or plan details confirming what you are paying for and how much.
You may use this website to learn about our services, contact us, and book appointments. You agree to provide accurate information when you fill in a form or book a call.
Information on this website is provided for general information. It describes what our services do, and it is not a promise of any particular result for your business.
When using the website or the services, you must not:
Messaging rules matter here. Text and email communication is subject to laws and carrier rules about consent and opt-out. You are responsible for having permission to contact the people in your account.
You are responsible for keeping your login details secure and for everything that happens under your account. Tell us promptly if you believe someone has gained access to it who should not have.
You are responsible for the people you give access to, including employees and contractors, and for what they do in the account.
The services work from information you provide and approve. You are responsible for:
If your business is subject to specific regulation, such as rules covering health information, financial services, or licensed professional advice, you are responsible for making sure your setup meets those rules. Tell us before you sign up so we can discuss what is possible.
Fees for services are agreed with you before service begins. Unless agreed otherwise, services are billed in advance for each billing term.
There is a five day grace period on late payments. If payment has not been made after that period, the account is paused rather than deleted. A paused account is restored once payment is received.
While an account is paused, services such as messaging, AI voice, booking, and automated workflows will not run. That can mean missed calls and missed messages, so it is worth resolving a payment issue quickly.
We do not charge late fees or interest on overdue amounts. The account simply pauses until payment is made.
A paused account is held for 30 days. If payment has still not been received by the end of that period, the account is closed and its data is deleted. Export anything you want to keep before that point. Section 11 covers what you can take with you.
Setup, implementation, and provisioning fees are non-refundable. Section 10 lists the other charges that cannot be refunded once incurred.
Payments are handled by third-party payment providers. I Ninja LLC is not a payment processor and does not store full payment card details. Your payment provider's terms apply to how it processes and settles transactions.
There are no contracts and no minimum terms. You can cancel at any time from the billing section of your account.
Cancelling stops the subscription from renewing at the end of the current paid billing period. Once the cancellation goes through, you are not charged for another period.
After you cancel, you keep access to the services through the end of the billing period you have already paid for, unless access ends sooner because of a breach of these terms, unlawful activity, or another ground for termination described in section 17.
Export anything you want to keep before access ends. Retrieving your own data is your responsibility, and export tools are available while the account is still open. Once an account is closed we cannot recover it. Section 11 covers what you can take with you.
Subscription payments are not refundable once a billing period has begun. We do not provide prorated refunds, credits, or refunds for unused time remaining in an active billing period, except where applicable law requires otherwise.
The charges below are also non-refundable, to the extent permitted by applicable law, because the cost has already been spent on your behalf:
Cancelling does not remove your responsibility for charges properly incurred before the cancellation took effect.
If you think something has gone wrong, contact us before anything else. Most issues are faster to fix than to argue about.
Contacts, documents, customer records, and conversation history in your account belong to you. We hold and process that information on your behalf so the services work. We do not claim ownership of it.
The messaging and workflows we build for you belong to you. We do not reuse your workflows, message templates, or configurations in another business's account or for another client. What we build for you is built for you.
You can request an export of your data and your messaging documentation at any time, including before an account is closed. Ask for it before deletion, because afterwards we cannot recover it.
We cannot guarantee that workflows or messaging built here will work on another platform. Different systems are built differently, and configuration rarely transfers cleanly between them. What we can give you is documentation of what was built and how it worked, so someone else can rebuild it. We are telling you this up front rather than letting you discover it at the worst moment.
The website, our brand, our name and logo, and the general methods and know-how we use to deliver services remain ours. Nothing in these terms transfers that to you. You may not use our name or logo without written permission.
The services integrate with, depend on, and interact with third-party systems that we do not own or control. These include hosting and infrastructure providers, the business platform the services are built on, telecommunications providers that deliver calls and text messages, email providers, domain registrars, payment processors, artificial intelligence services, and other external software and APIs.
We do not control and cannot guarantee the availability, performance, security, privacy practices, data handling, compatibility, or continued operation of any third-party service. Those providers have their own terms, and a failure or change by one of them may affect the services.
This website may link to other websites. We are not responsible for their content or their practices.
You are responsible for the security and configuration of the systems, accounts, integrations, devices, credentials, permissions, domains, and applications that you create, configure, manage, or connect to the services, unless we have agreed in writing to configure or manage a specific one of those on your behalf.
Different configurations carry different levels of risk. A configuration, an integration, or a third-party tool may contain vulnerabilities, insecure settings, or data-sharing behavior that is outside our control.
We do not represent or warrant that any configuration, integration, third-party application, website, network, account, or connected service will be completely secure, free from vulnerabilities, uninterrupted, error-free, or immune from unauthorized access, data loss, cyberattack, malware, or any other security event.
Keeping sensible security practices is on you. That means protecting login credentials, controlling who has what permissions, reviewing third-party applications before connecting them, keeping backups where it makes sense, and promptly removing access for former staff and anyone who should no longer have it.
To the maximum extent permitted by applicable law, we are not responsible for losses, damages, security incidents, data breaches, unauthorized access, service interruptions, data loss, or other harm arising from:
Where we have agreed in writing to configure, manage, or maintain a specific system or asset, our responsibility is limited to the scope of work identified in that agreement.
Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited.
We do not offer an uptime guarantee. The services depend on infrastructure, platforms, and communications networks that we do not control, and it would be dishonest to promise availability that is not ours to promise.
We work to keep things running and to resolve problems promptly. The services may be unavailable at times because of maintenance, technical problems, third-party outages, or events outside our control.
We may change, improve, or discontinue parts of the services. Where a change materially affects how you use them, we will make reasonable efforts to tell you in advance.
THE WEBSITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, I NINJA LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR BUSINESS RESULT WILL BE ACHIEVED.
In plain terms: we will do good work, and we are not promising that software never breaks or that a particular outcome is guaranteed. We make no promise about search rankings, review counts, lead volume, or revenue.
AI and automation are tools, not professionals. The services do not provide legal, medical, financial, insurance, or other regulated professional advice, and must not be used as a substitute for a qualified licensed person.
TO THE FULLEST EXTENT PERMITTED BY LAW, I NINJA LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR THE SERVICES.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot be limited by law.
You agree to defend and indemnify I Ninja LLC against claims, losses, and reasonable costs arising from your use of the services in breach of these terms, your violation of any law, or your infringement of someone else's rights.
This includes claims arising from messages sent to people who had not agreed to receive them, and from information you provided that was inaccurate or that you did not have the right to use.
You can cancel at any time, as described in section 9.
We may suspend or end your access if you breach these terms, if your account is used unlawfully, or if payment has not been made after the grace period described in section 8. Where it is reasonable to do so, we will tell you first and give you a chance to fix the problem.
When the relationship ends, your account is deleted. Request your data export beforehand. Sections that by their nature should survive, including ownership, disclaimers, limitation of liability, indemnity, and governing law, continue to apply after termination.
We may update these terms as our services or the law change. When we do, we will change the "Last updated" date at the top of this page. Where a change materially affects customers, we will make reasonable efforts to tell you directly.
Continuing to use the website or the services after a change means you accept the updated terms.
These terms are governed by the laws of the State of California, without regard to conflict of law rules.
If something goes wrong, contact us first. Most disagreements are resolved faster by a conversation than by a legal process, and we would rather fix a problem than argue about one.
Attorney decision: this section needs a dispute resolution clause and none has been written, because it is a genuine legal choice rather than boilerplate. The options are court proceedings in a named California county, or binding arbitration, possibly with a class action waiver. Each has real trade-offs for cost, speed, privacy, and appeal rights. Ask your attorney which fits I Ninja LLC, then add the venue or arbitration wording here.Questions about these terms, or anything in them that is unclear:
